Wellshare X — Practitioner Terms

  1. About These Terms

These Practitioner Terms (“Terms”) apply when you submit an inquiry through the Wellshare X platform (“Platform”) operated by Wellshare Pty Ltd (ABN 52 630 278 894) (“Wellshare”, “we”, “us”, “our”).

By submitting an inquiry, you agree to be bound by these Terms, our Privacy Policy, and our Website Terms of Use.

  1. The Introduction Service

2.1 Wellshare X facilitates introductions between health, beauty, and wellness practitioners (“Practitioners”) and clinic owners or room providers (“Clinic Owners”) who have rooms or spaces available for use.

2.2 Wellshare provides an introduction service only. Wellshare is not a party to, and has no involvement in, any arrangement entered into between you and a Clinic Owner.

2.3 Submitting an inquiry does not guarantee:

a response from a Clinic Owner;

the availability of any room or space; or

the suitability of any room or clinic for your needs.

2.4 No Agency or Partnership Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Wellshare, or between Wellshare and any Clinic Owner. Neither Wellshare nor any Clinic Owner has authority to bind the other.

2.5 Platform Changes Wellshare may modify, suspend, or discontinue the inquiry feature or any part of the Platform at any time, with or without notice.

  1. Your Inquiry

3.1 When you submit an inquiry, you provide us with your name, email address, phone number, preferred use type, and any additional information included in your message.

3.2 By submitting an inquiry, you consent to Wellshare providing your contact details and inquiry message to the relevant Clinic Owner. Once your details have been provided to a Clinic Owner, Wellshare cannot retrieve or control that information.

3.3 The Clinic Owner may contact you directly using the details you provide. Wellshare has no involvement in, and no control over, any communication between you and the Clinic Owner following the introduction.

3.4 You represent and warrant that:

the information you provide is accurate and complete;

you are at least 18 years of age; and

you are submitting the inquiry for a genuine purpose related to renting or using a treatment, consultation, or therapy room.

3.5 Verification You acknowledge that Wellshare may contact you from time to time to verify whether you have entered into an arrangement with a Clinic Owner following an introduction.

  1. Your Responsibilities

4.1 You are responsible for conducting your own due diligence on any Clinic Owner or room, including verifying:

the suitability of the room for your practice;

the Clinic Owner’s credentials and insurance; and

compliance with any applicable professional regulations, licensing requirements, or industry standards.

4.2 Wellshare does not verify, endorse, or guarantee any Clinic Owner, room, listing, or information displayed on the Platform.

4.3 Any arrangement you enter into with a Clinic Owner is solely between you and the Clinic Owner. You must satisfy yourself that any arrangement meets your professional, legal, and regulatory obligations.

  1. No Professional Advice

Wellshare does not provide legal, financial, insurance, or professional advice. Nothing on the Platform constitutes a recommendation or endorsement of any room, clinic, or Clinic Owner.

  1. Limitation of Liability

6.1 To the maximum extent permitted by law, Wellshare’s total liability to you in connection with the Platform and any introduction is limited to $100 AUD.

6.2 Wellshare is not liable for any indirect, incidental, consequential, or special loss, including loss of profit, revenue, opportunity, or business.

6.3 Wellshare is not liable for:

any act, omission, or conduct of any Clinic Owner;

the accuracy or completeness of any listing;

the outcome of any arrangement between you and a Clinic Owner; or

any loss arising from your reliance on information on the Platform.

6.4 Nothing in these Terms excludes or limits any consumer guarantee or right that cannot be excluded under the Australian Consumer Law.

  1. Indemnity

To the maximum extent permitted by law, you indemnify and hold harmless Wellshare and its officers, employees, contractors, and agents from any claim, loss, liability, or expense (including legal costs) arising from:

your use of the Platform;

any arrangement you enter into with a Clinic Owner;

any breach of these Terms; or

any misrepresentation or inaccurate information provided in your inquiry.

  1. Privacy

Your personal information is handled in accordance with our Privacy Policy, available on the Platform. By submitting an inquiry, you acknowledge that you have read and understood the Privacy Policy.

  1. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Platform. Continued use of the Platform constitutes acceptance of the updated Terms.

  1. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.
