Wellshare X — Website Terms of Use

  1. About These Terms

These Website Terms of Use (“Terms”) govern your access to and use of the Wellshare X platform (“Platform”) operated by Wellshare Pty Ltd (ABN 52 630 278 894) (“Wellshare”, “we”, “us”, “our”) at search.wellshare.com.au.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms apply to all visitors and users of the Platform, including Practitioners and Clinic Owners. Clinic Owners are also subject to the separate Wellshare Terms and Conditions for Clinic Owners, which prevail to the extent of any inconsistency.

  1. The Platform

2.1 Wellshare X is an online marketplace that facilitates introductions between health, beauty, and wellness practitioners (“Practitioners”) and clinic owners or room providers (“Clinic Owners”) who have rooms or spaces available for use.

2.2 Wellshare provides an introduction service only. Wellshare is not a party to, and has no involvement in, any arrangement entered into between a Practitioner and a Clinic Owner.

2.3 We do not guarantee the accuracy of any listing, the suitability of any room or space, or the qualifications, conduct, or compliance of any Practitioner or Clinic Owner.

2.4 No Agency or Partnership Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between Wellshare and any user. No user has authority to bind or represent Wellshare in any manner.

2.5 Platform Changes Wellshare may modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Platform.

  1. Eligibility

3.1 You must be at least 18 years of age to use the Platform.

3.2 By using the Platform, you represent and warrant that:

the information you provide is accurate and complete; and

where you act on behalf of a business or clinic, you have the authority to bind that entity to these Terms and any applicable agreements.

  1. Practitioner Use

4.1 Practitioners may browse listings and submit inquiries at no cost.

4.2 By submitting an inquiry, you consent to your contact details (including name, email address, phone number) and inquiry message being provided to the relevant Clinic Owner.

4.3 Wellshare does not verify, endorse, or guarantee any room, clinic, or Clinic Owner listed on the Platform. You are responsible for conducting your own due diligence, including verifying room suitability, qualifications, insurance, and regulatory compliance.

4.4 Any arrangement you enter into with a Clinic Owner is solely between you and the Clinic Owner. Wellshare is not a party to, and has no liability in respect of, any such arrangement.

  1. Clinic Owner Use

5.1 Clinic Owners must register for an account and accept the Wellshare Terms and Conditions for Clinic Owners before listing rooms or spaces on the Platform.

5.2 Clinic Owners are responsible for the accuracy and currency of all listing information.

5.3 All listings are subject to Wellshare’s review and approval.

  1. Acceptable Use

You must not:

use the Platform for any unlawful purpose;

provide false, misleading, or incomplete information;

attempt to gain unauthorised access to the Platform or related systems;

interfere with or disrupt the operation or security of the Platform;

scrape, harvest, or collect data from the Platform by automated means without prior written consent;

use the Platform to send spam or unsolicited communications;

impersonate any person or entity; or

upload, post, or transmit content that is defamatory, offensive, unlawful, or infringes any third-party rights.

  1. Intellectual Property

7.1 All content on the Platform, including text, graphics, logos, images, software, and design, is owned by or licensed to Wellshare and is protected by Australian and international intellectual property laws.

7.2 You must not reproduce, modify, distribute, or create derivative works from Platform content without prior written consent.

7.3 The Wellshare and Wellshare X names, logos, and branding are trademarks of Wellshare Pty Ltd.

  1. Third-Party Links

The Platform may contain links to third-party websites or services. Wellshare does not control and is not responsible for the content, availability, or privacy practices of any third-party website or service.

  1. Disclaimer

9.1 The Platform is provided “as is” and “as available”, without warranties of any kind, to the maximum extent permitted by law.

9.2 We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

9.3 We do not warrant the accuracy, completeness, or reliability of any listing, information, or content on the Platform.

9.4 Nothing in these Terms excludes or limits any consumer guarantee or right that cannot be excluded under the Australian Consumer Law.

  1. Limitation of Liability

10.1 To the maximum extent permitted by law, Wellshare’s total liability to you in connection with the Platform is limited to $100 AUD.

10.2 This limitation applies to claims arising from use of the Platform and does not limit any fees, payments, or obligations arising under separate agreements with Wellshare.

10.3 Wellshare is not liable for any indirect, incidental, consequential, or special loss or damage, including loss of profit, revenue, data, or business opportunity.

10.4 Wellshare is not liable for any loss or damage arising from:

reliance on any listing or information on the Platform;

any arrangement between users;

unauthorised access to or alteration of your data; or

interruption, suspension, or cessation of the Platform.

  1. Indemnity

You indemnify and hold harmless Wellshare and its officers, employees, contractors, and agents from and against any claim, loss, liability, or expense (including legal costs) arising out of:

your use of the Platform;

your breach of these Terms; or

any arrangement you enter into with another user.

  1. Privacy

Your use of the Platform is subject to Wellshare’s Privacy Policy, available on the Platform.

  1. Termination

Wellshare may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnity, and governing law survive termination.

  1. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

  1. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.

  1. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
